PREFACE

TH HIS book has been written to supply a want long felt Thys book has been written work on California

Corporations which is of reasonable size, accurate, authoritative, comprehensive and of practical use in the office.

The Corporation Law of California is so widely different from that of any other State in the Union that even a deep knowledge of the laws of other jurisdictions only is of little or no value here. In this book, therefore, the endeavor has been made to produce a work for California that can be relied upon, and in which one may find at a moment's notice accurate and complete information concerning almost any corporation matter upon which he seeks elucidation in the course of his every day business activities. At the same time it may be confidently asserted that the guidance given herein will clear away many difficulties and remove uncertainties and so enable the Business Man not only to solve his doubts but to protect his interests. It will certainly save. him both time and money by preventing his falling into errors which he otherwise might make were the work not at hand.

In view of the special objects for which the work has been written, every endeavor has been made to present the entire subject in as simple a manner as possible, and for this reason legal and technical phraseology have been altogether avoided.

It is by no means easy to find the California Law of Corporations; it is not set forth in any one Act of the Legislature, but is more or less scattered in the provisions of the
